§1. Independent Contractor Relationship
Contractor is an independent contractor and not an employee, partner, joint venturer, or agent of the Company.
Contractor controls the manner and means of performing services, including schedule, route, tools, and methods,
subject to platform rules and customer requirements.
- No entitlement to employee benefits, overtime, or unemployment insurance from Company.
- Contractor may perform services for others, including competitors, unless prohibited by law.
- Nothing here creates exclusivity or a guaranteed minimum amount of work.
§2. Scope of Work / Services
Contractor may accept or reject service requests (“Jobs”) offered through NearbyCrew. Jobs may include
local micro-services (e.g., moving help, cleaning, labor, assembly) as listed within the platform.
- Contractor chooses which Jobs to accept and when to be available.
- Contractor is responsible for tools, equipment, and any required supplies unless otherwise specified.
- Contractor must complete accepted Jobs in a professional, timely manner consistent with job details.
Job Details Control: Customer-provided job notes, location, and safety constraints apply.
If a job becomes unsafe or materially different, Contractor should stop and report through the platform.
§3. Eligibility, Background, Licenses
Contractor represents and warrants they meet minimum eligibility requirements and will maintain compliance with:
applicable laws, permits, licenses, and safety requirements for the services performed.

- Identity verification: accurate profile info and legal name on payouts.
- Licensing: any required trade licenses for restricted work (e.g., electrical, plumbing) must be held and current.
- Background checks (optional): Contractor consents to background screening where permitted by law.
§4. Payments, Platform Fees, and Payouts
Customers pay through the platform (or as otherwise permitted). Contractor receives payouts for completed Jobs,
minus applicable platform fees, processing fees, refunds/chargebacks, and adjustments per platform policies.
- Pricing: Job price may be set by platform, customer, or a pricing engine, depending on product mode.
- Platform Fee: [Platform Fee %] (or schedule) may be deducted from gross job value.
- Payout Schedule: [e.g., daily/weekly] after job completion and any dispute window.
- Payment Provider: Stripe (or other) may require onboarding, KYC, and tax info.
Disputes / Adjustments: If a customer disputes a Job, Company may pause or reverse payouts
consistent with platform policy and payment processor rules.
§5. Taxes & Reporting
Contractor is solely responsible for all taxes arising from compensation received through the platform,
including self-employment taxes, income taxes, and any local business taxes or registrations.
- Company may provide tax forms (e.g., 1099) as required by law and thresholds.
- Contractor will provide accurate taxpayer information (TIN/SSN/EIN) when requested.
- Contractor is responsible for tracking mileage, expenses, and deductions.
§6. Conduct, Quality, and Safety
Contractor agrees to maintain professional conduct and meet minimum quality standards. Violations may result in
suspension or removal.
- Arrive on time, communicate clearly, and respect customer property and privacy.
- No harassment, discrimination, threats, or unsafe behavior.
- Follow all platform safety guidance and applicable laws.
- No solicitation of off-platform payments if prohibited by platform terms.
Zero-Tolerance Examples: theft, violence, credible threats, intoxication while working,
tampering with customer property, or falsifying job completion.
§7. Insurance, Liability, Indemnification
Contractor assumes all risks associated with performing services and is responsible for maintaining
adequate insurance where appropriate (e.g., general liability, auto, workers’ comp if required).
- No Workers’ Comp: Contractor acknowledges they are not covered by Company workers’ compensation unless required by law.
- Indemnity: Contractor agrees to indemnify Company for claims arising from Contractor’s acts/omissions, to the extent permitted by law.
- Limitation: Company is not liable for lost profits or indirect damages to the maximum extent permitted.
§8. Data, Privacy, and Location Sharing
Contractor’s use of the platform may involve collection and processing of data including job history,
communications, and optional live location sharing (for customer ETA and safety).
- Contractor consents to platform processing of data per Privacy Policy.
- Location sharing may be required for certain job modes (e.g., in-job tracking) and can be turned off when not active, subject to policy.
- Contractor must not misuse customer data (addresses, phone numbers) beyond job completion.
§9. Intellectual Property, Media, and Content
Contractor retains ownership of pre-existing IP. However, Contractor grants Company a limited license to use
Contractor’s profile content (name, photo, ratings) to operate and market the platform.
- Contractor may not use Company branding except as permitted (e.g., “NearbyCrew provider”).
- Job photos/videos uploaded may be used for dispute resolution and platform operations.
- Contractor agrees not to upload illegal or infringing content.
§10. Term, Termination, and Suspension
This Agreement begins on the Effective Date and continues until terminated by either party.
Either party may terminate at any time, subject to compliance obligations and payout processing.
- Company may suspend access for policy violations, safety concerns, suspected fraud, or legal compliance.
- Outstanding payouts may be held during investigations, disputes, or chargebacks per policy.
- Sections relating to taxes, liability, indemnity, confidentiality, and disputes survive termination.
